Terms of Service & End User License Agreement

These Terms of Service and End User License Agreement (the "Terms") form a binding agreement between you ("you" or "User") and AAA Property Tax Appeal LLC ("AAA", "we", "our", or "us") governing your access to and use of our public website, our homeowner intake forms, our internal staff portal at property-tax-pro.replit.app, and any related software, content, and services (collectively, the "Services"). By accessing or using the Services you agree to these Terms. If you do not agree, do not use the Services.

1. Who We Are

2. Services

The Services help homeowners initiate and manage property tax grievances and appeals in New York State, and help our staff prepare legal filings, manage client cases, generate appraisals, send invoices, and track payments. Some portions of the Services are restricted to authorized AAA staff and authenticated clients.

3. License

Subject to these Terms, AAA grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose. All software, content, designs, and trademarks on the Services are owned by AAA or its licensors and are protected by intellectual property law. You may not copy, modify, reverse-engineer, resell, or create derivative works based on the Services except as permitted by law.

4. Accounts and Authorization

When you sign up as a homeowner, you authorize AAA to act as your representative for the purposes described in the signed authorization form. You are responsible for the accuracy of the information you provide and for keeping your account credentials confidential. You agree to notify us promptly of any unauthorized access.

5. Fees and Payment

Engagement fees are set out in your signed authorization or retainer letter. Invoices are issued through QuickBooks Online and are due on the date stated on the invoice. Late payments may be subject to interest at the maximum rate permitted by law. AAA's services are contingent on, and conditioned upon, payment of agreed fees.

6. No Guarantee of Outcome

Property tax grievance and appeal results depend on facts, comparable sales, assessment data, and the discretion of assessing units and courts. AAA does not guarantee any particular reduction, refund, or outcome. Past results are not a guarantee of future results.

7. Attorney-Client Relationship

Use of the Services or submission of an intake form does not, by itself, create an attorney-client relationship. An attorney-client relationship is formed only when you sign a written retainer or authorization with AAA and AAA accepts the matter in writing.

The Services rely on third-party providers including Intuit / QuickBooks Online (invoicing and payments), Resend (email), Twilio (text messaging), Replit (hosting), CoreLogic, Regrid, and OneKey MLS (parcel and comparable-sale data). Your use of those services through us is subject to their respective terms and privacy policies. AAA is not responsible for the acts or omissions of third-party providers.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. AAA DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, AAA AND ITS MEMBERS, MANAGERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES. AAA'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNT OF FEES YOU PAID TO AAA IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless AAA from any claims, losses, or expenses (including reasonable attorneys' fees) arising out of (a) your breach of these Terms, (b) your misuse of the Services, or (c) information you submit that is inaccurate, infringing, or unlawful.

13. Termination

We may suspend or terminate your access to the Services at any time for any reason, including for breach of these Terms. You may stop using the Services at any time. Sections that by their nature should survive termination (including Sections 5, 6, 10, 11, 12, and 14) will survive.

14. Governing Law and Venue

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Rockland County or Westchester County, New York, and you consent to the personal jurisdiction of those courts.

15. Changes to These Terms

We may update these Terms from time to time. Continued use of the Services after a change constitutes acceptance of the updated Terms.
